Uber’s $14.8 billion offer for Delivery Hero has passed a critical stage. Following an independent review, Delivery Hero’s management and supervisory boards recommended that shareholders accept the offer; the cash payment of 41.50 euros per share was deemed “fair and adequate.” The offer is approximately 127% above the company’s three-month weighted average price through May 8, 2026, and approximately 35% above the three-month average before July 16. Taking shares acquired previously into account, the transaction is worth approximately $13.7 billion.

Under the agreement, Yemeksepeti in Türkiye will be transferred not to Uber but to SSW Partners for approximately $1.6 billion, along with operations in overlapping markets. The package covers a total of 14 markets. Uber holds a direct stake of 24.77% and a further 11.74% through financial instruments. With Prosus’s 16.68% commitment, the total economic stake is expected to exceed 53%. The offer requires 50% plus one share. The acceptance period will end on November 5, 2026; the transaction is planned to be completed in the second half of 2027.

Why it matters

The boards’ favorable opinions do not mean that the offer has been completed; however, they remove the company management’s avenue of opposition in the decision-making process before shareholders. Uber’s existing direct economic stake and its economic stake tied to financial instruments, together with Prosus’s commitment, provide a decisive basis for exceeding the required 50% plus one share threshold. By contrast, the transfer of Yemeksepeti and the operations in overlapping markets to a separate buyer shows that the Türkiye operations will not be under Uber’s umbrella following the main acquisition. The process should not yet be considered closed because of the need for shareholder acceptances and the lengthy completion schedule; the key outstanding question is whether the threshold will be met by the end of the acceptance period. Given the unusual size of the transaction, the offer structure, share calculations and transfer conditions also need to be verified through independent sources.
