Following claims that Togg’s ownership structure could change, KAP disclosures were issued by Anadolu Grubu, Vestel and Turkcell. Anadolu Grubu and Vestel said negotiations regarding the relevant shares were ongoing, but that there was no binding agreement or Board of Directors decision finalizing the transaction. Turkcell also announced that negotiations regarding the purchase of shares were continuing.
Under the current structure, Vestel, Anadolu Grubu, Turkcell and BMC Otomotiv each hold a 23% stake in Togg. The remaining 8% stake belongs to the Union of Chambers and Commodity Exchanges of Türkiye. Claims that TVF will join the ownership structure and that some shares will be acquired by Turkcell and TVF have not yet been finalized.
Why it matters
The companies’ KAP disclosures highlight the difference between news about the ownership structure and a legally completed transaction: The continuation of negotiations alone does not mean that a share transfer has taken place. Therefore, no finalized change can be said to have occurred in Togg’s current shareholding balance without a binding agreement or a Board of Directors decision. The issue matters because a potential transfer or the entry of a new shareholder could affect the distribution of shares in the company and its decision-making structure; however, how this would happen has not yet been clarified. In particular, whether TVF will join the structure, between which parties the relevant shares will change hands, and whether the positions of the existing shareholders will be maintained remain open questions until the official process is completed.
