Paramount has clarified the terms of its merger by reaching an agreement with 12 states that sued over its plan to acquire Warner Bros. Discovery in a transaction worth approximately $110 billion. The company will:

  • Spend at least $300 million in addition to projects produced in the United States.
  • Release at least 30 films per year during the first two years; for each film that falls short of the target, it will pay $30 million to health and pension funds.
  • Raise the annual minimum to 32 films over the following three years.

The targets exceed the current pace of production. If these five-year obligations are not met, the sale of the 49% stake in Miramax Studios to a rival could be considered. California Attorney General Rob Bonta said the agreement would protect US productions and workers. SAG-AFTRA supported the deal; Sean Astin and Duncan Crabtree-Ireland described the terms as minimum standards. The merger does not eliminate the possibility of layoffs and has not yet been completed.
